These Terms of Service (the “Terms”) govern your access to and use of “Unusual Breakouts” (the “Site”), including its web pages, lists, charts, scores, and any data or API made available through it (together, the “Service”). The Site is owned and operated by Niv Goren, Israel (“we,” “us,” or “our”). By using the Service you agree to these Terms. If you do not agree, do not use the Service. You must be at least 18 years old to use the Service.
The Service is provided for educational and informational purposes only. Nothing on the Site is investment, financial, tax, legal, or accounting advice, and nothing on the Site is a recommendation, solicitation, or offer to buy, sell, or hold any security, cryptocurrency, or other financial instrument.
Consult a qualified, licensed professional before making any investment decision. You are solely responsible for your own investment decisions and their results, and you agree that you do not rely on the Service as a basis for any investment decision.
Investing and trading involve substantial risk, including the possible loss of all the money you invest. Momentum and breakout strategies can be especially volatile. Past performance, including any backtested, simulated, or hypothetical results, does not guarantee future results. Backtests are built with the benefit of hindsight and do not reflect real trading costs, slippage, liquidity, or the psychological pressure of real trading.
Research articles on the Site may describe backtests of trading rules. These are hypothetical results of rules applied to historical data, often with rules and thresholds chosen on that same data. They are not records of actual trading, no real money was traded, and they are not a promise or projection of any future result.
We, and people associated with us, may hold, buy, or sell securities that appear on the Site, including before, during, or after they appear in a list or receive a score, and without notice to you. We have no obligation to disclose our positions or trades. You should assume we may have a financial interest in any security shown.
Data shown on the Site comes from third-party sources, including market data vendors, public regulatory filings, and automated analysis (which may include AI-generated summaries or classifications that can be wrong). Data may be delayed, incomplete, inaccurate, or out of date, and lists are typically updated once per trading day after the market closes. We do not guarantee the accuracy, completeness, timeliness, or reliability of any information, and we may change, suspend, or discontinue any part of the Service at any time without notice.
You agree not to:
If we give you an API key, it is personal to you, must be kept confidential, and may be revoked at any time. API data is subject to these Terms, including the disclaimers above. If you display API data to anyone else, you are responsible for doing so lawfully and with disclaimers at least as prominent as ours, and you may not present it as advice from us. We may limit, change, or stop the API without notice.
The Service, including its design, text, software, scoring methods, and compilations of data, is owned by us or our licensors and protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to view and use the Service for your own non-commercial purposes. Third-party trademarks, company names, and ticker symbols belong to their respective owners and are used only to identify securities.
The Site may link to or integrate third-party websites and tools (for example, charting platforms or brokers). We do not control and are not responsible for their content, policies, or services. Your use of them is at your own risk and subject to their terms.
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any trading or investment losses, lost profits, or lost data, arising out of or related to your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim or USD 100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you. You are responsible for complying with the laws that apply to you where you live, including any restrictions on accessing financial information.
You agree to indemnify and hold us harmless from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your investment decisions, or your violation of these Terms.
Our Privacy Policy explains how we handle information when you use the Service.
We may update these Terms from time to time. The “Last updated” date will change when we do. Continuing to use the Service after changes take effect means you accept the updated Terms.
These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-law rules. The competent courts in Tel Aviv-Jaffo, Israel, have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to their jurisdiction. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce a provision is not a waiver of our right to do so later.
